1. Purpose
These Terms of Sale (the “Terms of Sale”) apply to any order for a paid subscription (Essential or Premium, with weekly, monthly or annual billing) or for a credit pack for the StudiAI service by a consumer individual (the “Subscriber”). Any subscription entails acceptance of the Terms of Sale, of the Terms of Use (https://studi-ai.com/cgu) and of the Privacy Policy (https://studi-ai.com/confidentialite) in the version in force on the date of the order.
The service is open to subscription by consumers residing in the European Union. Perform Code SAS reserves the right to restrict, suspend or block access to payment and to subscription from one or more countries at any time, as well as to change the eligible geographic area, in particular for regulatory, tax, fraud-prevention or technical reasons, without this giving rise to any right to compensation.
2. Seller
The StudiAI service is published and marketed by Perform Code, a société par actions simplifiée (SAS, a French simplified joint-stock company) with share capital of €1,050, whose registered office is at 216 rue Clémenceau, 59139 Wattignies (France), registered with the Lille Métropole Trade and Companies Register under number 942 543 943. Contact: [email protected] — 07 80 97 88 17. The intra-Community VAT number appears on each invoice. Hosting: Railway Corp. (United States, under Standard Contractual Clauses and the Data Privacy Framework).
For purchases made in the iOS app, the seller of the in-app purchase is Apple (Apple Distribution International Ltd.), in accordance with the App Store terms; Perform Code SAS remains the provider of the service.
3. Services
StudiAI is a digital (SaaS) AI-powered revision aid service intended for secondary school and university students. From uploaded course materials, it can generate quizzes, study sheets, summaries, revision plans, corrections of written work and diagrams, and lets you talk with a learning assistant. Each feature consumes credits.
Credit allowances per plan:
- Free (Discovery Pack): one course, one document, and the number of discovery credits shown on the pricing page.
- Essential: 800 credits per month (monthly or annual billing); 200 credits per week with weekly billing.
- Premium: 2,000 credits per month (monthly or annual billing); 500 credits per week with weekly billing.
Subscription credits are reset at the beginning of each billing cycle and do not carry over from one cycle to the next. The service is provided “as is”; content generated by the AI is labelled as such and may contain inaccuracies. It cannot replace your own checking work.
4. Credit packs
In addition to, or independently of, a subscription, the Subscriber may buy credit packs individually (“top-ups”) at the price shown on the Pricing page. This is a one-off purchase, with no renewal.
The credits of a pack:
- do not expire for as long as the account exists and are consumed after the subscription credits of the current cycle;
- are personal, cannot be transferred between accounts and cannot be converted into cash;
- are non-refundable, except where the right of withdrawal is exercised and has not been lost (Article 8);
- are definitively lost if the account is deleted.
5. Prices and payment
Prices are shown in euros, inclusive of all taxes, including French VAT at 20 %, in the Pricing section of the home page (https://studi-ai.com/#pricing) at the time of subscription. Payment is due when the order is placed, and then at each renewal date for subscriptions.
On the website, payment is processed by Stripe; StudiAI does not store any bank details. On the iOS app, the purchase is an in-app purchase processed by Apple’s App Store, at the price set by the App Store in your local currency; Apple is the seller of that purchase and refunds are governed by the App Store terms.
Any payment default (a failed charge that is not settled after a reminder) leads to the suspension of access to the paid features until the situation is settled, followed by a return to the Free plan.
The prices and the monthly allowances associated with each plan may change to adapt to infrastructure costs (AI models, hosting) and to the evolution of the service. Any change affecting an ongoing subscription (price increase, reduction in allowance) is subject to 30 days’ notice by email, with the option to cancel free of charge during that period; it applies only to subsequent renewal dates.
VAT: as long as the annual threshold of €10,000 in intra-Community distance sales is not exceeded, French VAT (20 %) applies to all consumers in the European Union. Above that threshold, the VAT of the consumer’s Member State of residence applies and is declared through the OSS one-stop shop.
6. Formation of the contract
The order takes place in four steps: (a) choice of the plan and of the billing frequency, or of the credit pack; (b) login or account creation; (c) express acceptance of the Terms of Sale, of the Terms of Use and of the Privacy Policy, as well as of the separate box “I request immediate performance and acknowledge that I lose my right of withdrawal”; (d) confirmation of payment through Stripe or the App Store.
A summary email setting out the plan, the price, the date and the applicable terms serves as acknowledgement of receipt and as the archived contract. The contract is concluded in French.
7. Term and automatic renewal
The subscription is entered into for the duration of the billing frequency chosen (one week, one month or one year). It is tacitly renewed at the end of the term for an identical duration, unless the Subscriber cancels before the end of the current period.
In accordance with Article L. 215-1 of the French Consumer Code, for annual subscriptions the Subscriber is informed in writing, no later than one month before the end of the period during which renewal may be rejected, of the possibility of not renewing the contract. The Subscriber may cancel at any time, free of charge and without penalty, from their settings. Credit packs are not subject to any renewal.
8. Right of withdrawal
You are in principle entitled to a period of 14 days from subscription in which to withdraw (Article L. 221-18 of the French Consumer Code). By ticking the separate box provided at payment, you expressly request the immediate performance of the service and agree to lose your right of withdrawal as soon as it has been fully performed (Articles L. 221-25 and L. 221-28, 1°).
As soon as you take a first action that consumes credits (content generation, correction, question to the assistant, revision plan), the service is deemed performed for the period or the pack concerned and you lose your right of withdrawal.
If, and only if, you have not consumed any credits since subscribing, you may exercise your right of withdrawal within the 14-day period by any unambiguous statement. For evidentiary reasons, we recommend sending it in both of the following ways:
- by email to [email protected] with the subject “Rétractation — [account email] — [subscription date]”;
- together with, if you wish, a registered letter with acknowledgement of receipt to: Perform Code — Service Rétractation, 216 rue Clémenceau, 59139 Wattignies (France).
The statement must indicate your surname and first name, the email of the account, the date of subscription and the plan or pack concerned. A model form compliant with Article R. 221-1 of the French Consumer Code is available on simple request at [email protected].
On receipt, we check the absence of use in our logs (within 7 working days). If it is confirmed, a full refund is made within 14 days to the original payment method. For purchases made in the iOS app, the refund request must be made to Apple (reportaproblem.apple.com) in accordance with the App Store terms.
9. Cancellation
Any subscription can be cancelled at any time from the settings, in three clicks, free of charge, without penalty and without justification (Law no. 2022-1158 of 16 August 2022). For a subscription taken out through the iOS app, cancellation takes place in Settings > Subscriptions on your Apple device. Cancellation takes effect at the end of the current period already paid for: the Subscriber keeps access until that date, then automatically switches to the Free plan. No pro rata refund is granted for the period already started.
Perform Code SAS may suspend or terminate the subscription as of right, after formal notice has remained without effect (or without notice in the event of payment fraud, scraping, resale or identity theft), in the event of a serious breach by the Subscriber of these Terms of Sale or of the Terms of Use, in particular in the event of abusive use within the meaning of Article 11.
10. Refunds
Apart from the valid exercise of the right of withdrawal (Article 8), the sums paid for a subscription period already started or for a credit pack are non-refundable, the Subscriber retaining access to the service and to their credits until the end of the period paid for or for as long as their account exists.
In the event of a major and lasting malfunction attributable to StudiAI depriving the Subscriber of the use of the service, a pro rata refund may be considered upon request sent to [email protected]. Purchases made in the iOS app are refunded by Apple in accordance with the App Store terms.
11. Fair use
Subscriptions give access to the features of StudiAI within the limits of reasonable and good-faith use, corresponding to normal personal use by a pupil or a student.
This fair use is capped at two thousand (2,000) credits per calendar month, across all plans, this volume being reset automatically at each new monthly billing cycle. This cap is sized to cover a student’s use very generously: almost no Subscriber ever reaches it.
If this cap is reached before the end of the cycle, access to the features that consume credits may be temporarily suspended until the beginning of the following cycle, without this suspension giving rise to any right to a refund or to compensation. The Subscriber is informed of this by a clear message in the app at the time the cap is exceeded; they may, if they wish, buy a credit pack.
The purpose of this clause is to prevent abnormal, automated or abusive use, or use diverted from its purpose (resale, industrial exploitation, scripts, shared accounts, etc.). In the event of established abuse, StudiAI reserves the right to suspend or terminate the subscription under the conditions of Article 9.
12. Availability and force majeure
The service is made available immediately after payment is confirmed, 24 hours a day, 7 days a week, subject to maintenance operations, updates and failures of our technical subcontractors (host, AI model provider, payment service providers). The AI models used are supplied by third-party providers and may change without notice. No 100 % availability is guaranteed.
Neither party may be held liable for a failure resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code, including the prolonged unavailability of a critical subcontractor. If the impediment lasts more than 30 days, either party may terminate the contract without compensation.
13. Liability
Generated content is provided as an indicative educational aid. Perform Code SAS cannot be held liable for the school or university results of the Subscriber, for decisions taken on the basis of the generated content, or for the consequences of a use contrary to the rules of their institution.
The liability of Perform Code SAS is excluded save in the event of gross negligence or intentional fault and is, in any event, limited to the amount actually paid by the Subscriber over the last twelve months. These limitations do not apply where the law prohibits them.
14. Customer service and mediation
Any complaint may be sent to [email protected] or by post to 216 rue Clémenceau, 59139 Wattignies (France). We reply within 72 working hours.
In accordance with Article L. 612-1 of the French Consumer Code, failing a satisfactory reply within a period of two months, the Subscriber may refer the matter free of charge to a French consumer ombudsman (contact details provided on simple request at [email protected]) or use the European online dispute resolution platform: https://ec.europa.eu/consumers/odr.
15. Personal data
The processing of the Subscriber’s personal data is governed by the Privacy Policy (https://studi-ai.com/confidentialite), which forms an integral part of the contractual relationship. In accordance with the GDPR and the French Data Protection Act, the Subscriber has the rights of access, rectification, erasure, objection, restriction, portability and post-mortem directives, to be exercised from their settings or with [email protected]. Payment data is processed exclusively by Stripe or Apple.
16. Intellectual property
All the elements of the StudiAI service (interface, code, brand, generation models, databases) remain the exclusive property of Perform Code SAS. The subscription confers a personal, non-exclusive and non-transferable right to use the service. The Subscriber retains ownership of the course materials they upload and has a personal right of use, for revision purposes, over the content generated. Any reproduction, mass extraction (scraping, reverse engineering), resale or redistribution is prohibited.
17. Changes to the Terms of Sale
Perform Code SAS may amend these Terms of Sale, including the credit allowances associated with each plan and the composition of the features, to adapt to changes in the service or in the legal framework. Any substantial change is notified by email at least 30 days before it takes effect. During that period, the Subscriber may cancel free of charge if they do not accept the new terms. The Terms of Sale applicable to an order are those in force on the date of subscription or of renewal.
18. Governing law
These Terms of Sale are governed by French law. In the event of a dispute and after the amicable phase has failed, the French courts have jurisdiction, subject to the protective rules applicable to consumers. In accordance with Article R. 631-3 of the French Consumer Code, the Subscriber retains the option of bringing the matter, at their choice, before the court of the place where they lived at the time the contract was concluded or where the harmful event occurred.
